Enel will remain a partner of Sawiris with a stake of 26%
in the holding company that will manage Wind’s and Orascom’s operations
* 62.75% of Wind will be sold to Weather by this summer, with the remainder being transferred in the first half of 2006.
* Enel will receive a total cash consideration of €3 billion with immediate deconsolidation of more than €7 billion of Wind’s debt.
* Enel will obtain a stake (26%) for an investment of approximately €2 billion in Weather, the company that will control 100% of Wind and 50% plus one share of Orascom.
* Enel and Sawiris agree on the goal of taking Weather public
* With the transaction, Enel completes the project launched three years ago to focus on its core business in electricity and gas.
Rome, 26 May 2005 - Enel S.p.A. (Enel) and Weather Investments S.A.R.L.(Weather), a company controlled by businessman Naguib Sawiris, have signed the agreement to sell Wind Telecomunicazioni S.p.A. (Wind) to Weather. The total value of the transaction is €12.138 billion.
The agreement provides for a transfer of 62.75% of Wind to Weather. At the same time Sawiris will contribute a stake of 50% plus one share in Orascom Telecom Holding (OTH), the telecommunications company listed in London and Cairo, to Weather.
Enel and Weather have also signed a put and call agreement according to which, in the timeframe between 15 January 2006 and June 30 2006, Enel can transfer and Weather can acquire from Enel the remaining stake of Enel in Wind.
Once the transaction is completed, Enel will receive €3,009 million cash and a stake of 26% in Weather (which will control 100% of Wind and 50% plus one share of Orascom), which is valued at €1,960 million. Upon transfer of its 62.75% of Wind to Weather, Enel will be able to deconsolidate approximately, €7 billion in Wind debt.
Paolo Scaroni, CEO of Enel commented: “With the sale of Wind we have completed the disposal of all businesses unrelated to our core activities in electricity and gas, in accordance with the strategy announced three years ago. The exit of the telecommunications business from the Group’s activities will enable Enel to focus its growth on energy in Italy and abroad.”
The Wind consolidated financial statements for 2004 approved by the Shareholders’ Meeting on 24 March 2005 show revenues of €4,714 million, up 7.6% on the €4,383 million posted in 2003, EBITDA of €1,554 million, an increase of 53.8% with respect to the €1,010 million in 2003, and EBIT of €41 million compared with the negative result of €384 million recorded a year earlier.
The agreement will also lay the foundation for closer cooperation between Wind and Orascom, aiming at a substantial increase in revenues and margins. More specifically, the two companies will aim at expanding their market share in telecoms traffic to and from Europe, the Mediterranean basin and all other countries where Orascom has and will have a key role. Moreover, coordination between the two companies will create a critical mass capable of producing considerable savings, especially in purchasing (e.g. handsets) and capital expenditure.
The transaction will take place on the following financial basis.
At first closing, expected by the 2005 summer on the condition that the transaction receives approval from regulatory authorities, Enel will sell to Weather 62.75% of Wind for € 2,986 million. Enel will use part of the proceeds, equal to €305 million, to acquire a 5.3% interest in Weather.
In the first half of 2006, Enel could transfer its remaining stake in Wind (37.25%) for a consideration of €328 million in cash and newly issued Weather shares that will bring its total equity holding in Weather to 26%.
Enel and Sawiris have signed shareholders’ agreements that will govern Weather operations. As part of the arrangements, the parties have agreed on the goal of pursuing a listing for Weather as soon as possible, depending on market conditions, and have undertaken reciprocal lock-up until the company goes public.
A conference call will be held at 18:30 Italian time for financial analysts and institutional investors. Journalists are invited to listen in on the call.

Στον Aιγύπτιο κροίσο Naquib Sawiris μεταβιβάζεται η ιταλική εταιρεία τηλεπικοινωνιών Wind, η οποία ελέγχει το 50% συν μία μετοχή της Tellas. H οριστική συμφωνία ανάμεσα στον ιταλικό ενεργειακό Oμιλο Enel (που ελέγχει την Wind) και στον Sawiris ανακοινώθηκε επισήμως χθες και αναμένεται ότι θα επηρεάσει και την ελληνική αγορά τηλεπικοινωνιών, μετά την πρόσφατη αλλαγή ιδιοκτησιακού καθεστώτος και στην TIM Eλλάς. O Aιγύπτιος επιχειρηματίας, μέσω της Orascom Telecom, έχει σήμερα παρουσία σε αρκετές αγορές τηλεπικοινωνιών της Bορείου και Kεντρικής Aφρικής καθώς και της Mέσης Aνατολής.
Mε βάση τη συμφωνία, η αξία της Wind προσεγγίζει τα 12,1 δισ. ευρώ, το 62,75% της Wind μεταβιβάζεται στην Weather Investments που ελέγχεται από τον Sawiris. H Enel θα λάβει σε μετρητά περί τα τρία δισ. ευρώ, ενώ η Weather θα καλύψει και δάνεια της Wind, ύψους επτά δισ. ευρώ. O ενεργειακός όμιλος διατηρεί το 37,25% της Wind, το οποίο μπορεί να μεταβιβάσει στην Weather εντός του επόμενου δωδεκαμήνου και παράλληλα θα αποκτήσει το 26% της τελευταίας. Mε την ολοκλήρωση της συναλλαγής, η Weather θα ελέγχει τόσο το 100% της Wind, όσο και το 50% συν μία μετοχή της Orascom Telecom και, με βάση τη χθεσινή ανακοίνωση, θα εισάγει σύντομα τις μετοχές της στο χρηματιστήριο.
H Wind, μέσω της ολλανδικής εταιρείας συμμετοχών Wind PPC Holding, κατέχει το 50% (συν μία μετοχή) της Tellas, ενώ το υπόλοιπο ποσοστό ελέγχεται από τη ΔEH.
Άραγε τι επιπτώσεις θα έχει αυτό σε εμάς;
Αναρωτιέται κανείς για τί οι Ιταλοί "την κάνουν" από κερδοφόρες εταιρείες; (και η ΤΙΜ και η ΤELLAS τέτοιες ήταν). Δεν βλέπουν προοπτικές ή "καίγονται" για ρευστό; :sorry:

Ιδέα δεν εχω, βασικά είχα την εντύπωση οτι την πλειοψηφία των μετοχών την είχε η ΔΕΗ.
Αυτός ο Αιγύπτιος που αγόρασε την Τελλάς
είναι της οικογενείας των Σαβίρις , τους οποίους ονομάζουν σύγχρονους Φαραώ .

Σωστός! Σύμφωνα με ανεπιβεβαίωτες πληροφορίες, εξίσου πιθανή είναι η μετονομασία σε Aya Tellah, επειδή ο Αιγύπτιος έχει ένα ξάδερφο που ήταν μπατζανάκης της θείας του Αγιατολάχ Τάδεinit

Established in 1985, Contrack International Inc. is a privately owned U.S. business with headquarters in Arlington, Virginia and offices in Egypt, Israel and Qatar. The company receives international public works and defense projects financed by the U.S. government. Since 1990, Contrack has completed contracts totaling more than $467 million and is currently operating in Egypt, Qatar, Russia and Bahrain. In 1998, Orascom Construction Industries, the largest private construction firm in Egypt, acquired 45 percent of Contrack . Egyptian-businessman Naguib Sawiris, son of the founder of Orascom and a former board member, owns the controlling interest in Contrack, according to a trade publication. Sawiris, whose family is Egypt's answer to the Rockefellers, holds U.S. citizenship, which allows Contrack to be eligible for certain U.S. government financed projects. The two companies also have a non-compete agreement on U.S. government financed projects in Egypt.
In 1950, Onsi Sawiris, chairman of the board of Orascom, founded the company, which has now been restructured into three companies: Orascom Construction Industries, Orascom Projects & Touristic Development and Orascom Technologies. His three sons, Naguib, Nassef and Sameeh are involved in running the companies.
Nassef Sawiris, the middle son and a graduate of the University of Chicago, is CEO of Orascom Construction Industries. Orascom Construction Industries is a favored partner among international companies operating in Egypt, and it has worked with Bechtel, Morrison-Knudsen (now Washington Group International), Krupp and Ebasco, among others.
Tarek Hatem, an Orascom director, is professor of Strategic Management and International Business at American University in Cairo and served as a consultant to several United Nations and European Union programs in Egypt from 1993 to 2001.
From 1990 to 2002, Contrack was awarded 27 contracts with the U.S. Army Corp of Engineers and one contract with the State Department. The total value of the work, which was performed in such countries as Bahrain, Egypt, Qatar and Russia, was nearly $468 million.
Afghanistan contracts
In January 2003, Contrack was awarded an indefinite delivery/indefinite quantity contract to perform design and construction services at both military bases and other infrastructure projects in Afghanistan. The one-year contract, which was obtained by the Center through a Freedom of Information Act request, has the option of being extended four more years. The minimum guaranteed contract amount for the first year is $5 million and the maximum is $100 million. The next four years provide a guaranteed minimum of $500,000 and a maximum of $100 million per year, meaning that the total value of the contract could reach $500 million.
Contrack was also selected to be Fluor's main construction subcontractor on that company's design and construction contract for the U.S. Central Command, which was awarded on April 1, 2003. CENTCOM's area of operations stretches across 25 nations from the Horn of Africa to Central Asia, including Iraq and Afghanistan. The Pentagon said the three companies would remove and rebuild damaged roads and replace a destroyed bridge in Afghanistan under their contracts.

Δεν θέλω όμως το όνομα της χώρας μας, για το οποίο είμαστε τόσο περήφανοι, να γίνεται trademark ξένων εταιριών που μόνο σκοπό έχουν το κέρδος.
Αν ήταν έτσι τότε και τα σκόπια θα μπορούσαν να μας πληρώσουν για να τα αφήσουμε να λέγονται μακεδονία.
Λίγος σεβασμός στα σύμβολα δεν βλάπτει! Εκτός αν θες να δεις και την Ελληνική σημαία registered trademark logo!

μετά τα αστειάκεια για αλλαγή επωνυμίας και τον επερχόμενο κίνδυνο ...εξισλαμισμού της τελλας μπορούμε να δουμε τα πράγματα πιο ψύχραιμα ίσως:
όποιος κάνει τέτοιες εξαγορές έχει δύο στόχους:
ή αναπτύσεει την εταιρία ή την πουλάει.
κι επειδή ο sawiris δεν ειναι fund (οπως η Apax που αγόρσαε την ΤΙΜ) αλλά έχει πολλές εταιρίες τηλεπικοινωνιών, νομίζω οτι το πιο πιθανό είναι να κρατήσει και να αναπτύξει την wind και την τελλας, τουλάχιστο μεσοπρόθεσμα. Αυτό μόνο καλό μπορεί να είναι γιατί και τεχνογνωσία διαθέτει και το κυριότερο ΦΡΑΓΚΑ. Αυτό που λείπει από την ελλαδα ειναι επενδύσεις και η τελλας είναι η μόνη που έριχνε καποια χρήματα σε υποδομές. τώρα αν ο αιγύπτιος το συνεχίσει και το δυναμώσει αυτό το επενδυτικό πλάνο της τελλάς, μπορεί να δούμε κάτι σε triple play υπηρεσίες σύντομα. Θα δείξει...
Αυτό ακριβώς θέλουμε όλοι μας.....
Επενδύσεις!
Και μετα και μετά δίνει 3 δις στον ΟΤΕ (τόσα έχει μορέ σιγά) και εγκαθιστά ανά 4 μέτρα super ntuper DSLAM παρέχοντας Gbit (full duplex) και στις διαφημίσεις θα υπάρχει ένα παγωμένο μυρμήγκι που θα δέχεται τηλεφώνμημα από κάποια ηλιόλουστη παραλία που θα του λέει (ίσως στα κρητικά) τι κάνεις εκει πάνω; Έλα κάτω όσο απάνου τόσο και χάμου.. (και πέφτει η τιμή στο επόμενο καρέ ότι το τιμολόγιο είναι στα 130+ euro)
(οπως καταλάβατε το "όσο απάνου τ'όσο και χάμου" θα είναι λογοπαίγνιο για το εξευτελιστικά χαμηλής τιμής τησ σκανδιναυικής χώρας σε συνδιασμό με το full duplex μη ξεχνιόμαστε..) :| :|
