Η Lenovo αγοράζει την Motorola Mobility από την Google έναντι 2,91 δις δολλαρίων

Προκαλώντας έκπληξη η Google ανακοίνωσε πως πουλάει την Motorola Mobility στην Κινεζική Lenovo, έναντι 2,91 δισεκατομμυρίων δολλαρίων (660 εκατομμύρια μετρητά, 750 εκατομμύρια σε μετοχές και υποσχετική 1,5 δις δολλαρίων).

Η Google θα διατηρήσει στην κατοχή της την πλειοψηφία των πατεντών της Motorola, δίνοντας άδεια για αυτές στην Lenovo, που μετά την αγορά αποκτά αποκλειστική κυριότητα στις μελλοντικές συσκευές της Motorola στην ονομασία και το εμπορικό σήμα της.

Ο διευθύνων σύμβουλος της Google Larry Page είπε πως η συμφωνία θα τους δώσει την ενέργεια να οδηγήσουν την πρωτοπορία στο οικοσύστημα του Android για όλους τους χρήστες smartphone, ενώ ο ομόλογος του Dennis Woodside της Lenovo τόνισε πως η εμπειρία της στο hardware και το μεγάλο δίκτυο της παγκοσμίως θα επιταχύνουν το momentum των προσφάτων παρουσιάσεων των Moto X και Moto G.

Η Google είχε αγοράσει την Motorola πριν 2 χρόνια έναντι 12 δις δολλαρίων.

Lenovo to Acquire Motorola Mobility from Google

Research Triangle Park, North Carolina, and Mountain View, California – January 29, 2014: Lenovo (HKSE: 992) (ADR: LNVGY) and Google (NASDAQ: GOOG) today have entered into a definitive agreement under which Lenovo plans to acquire the Motorola Mobility smartphone business. With a strong PC business and a fast-growing smartphone business, this agreement will significantly strengthen Lenovo’s position in the smartphone market. In addition, Lenovo will gain a strong market presence in North America and Latin America, as well as a foothold in Western Europe, to complement its strong, fast-growing smartphone business in emerging markets around the world.

The purchase price is approximately US$2.91 billion (subject to certain adjustments), including US$1.41 billion paid at close, comprised of US$660 million in cash and US$750 million in Lenovo ordinary shares (subject to a share cap/floor). The remaining US$1.5 billion will be paid in the form of a three-year promissory note.

Lenovo, which in 2005 acquired IBM’s PC business and its legendary PC brand, will now acquire the world-renowned Motorola Mobility, including the MOTOROLA brand and Motorola Mobility's portfolio of innovative smartphones like the Moto X and Moto G and the DROIDTM Ultra series. In addition to current products, Lenovo will take ownership of the future Motorola Mobility product roadmap.

Google will maintain ownership of the vast majority of the Motorola Mobility patent portfolio, including current patent applications and invention disclosures. As part of its ongoing relationship with Google, Lenovo will receive a license to this rich portfolio of patents and other intellectual property. Additionally Lenovo will receive over 2,000 patent assets, as well as the Motorola Mobility brand and trademark portfolio.

Motorola Mobility enjoys outstanding brand awareness around the world, and is currently the #3 Android smartphone manufacturer in the U.S. and #3 manufacturer overall in Latin America.

Μπορεί να μην την χρειάζεται πλέον, αφού έκλεισε και μία συμφωνία με την Sumsung για να μοιράζονται πατέντες για πολύ καιρό.

Γιατί προφανώς δεν την ενδιέφερε τίποτα, παρά μόνο οι πατέντες της Moto...

Πάντως δε θα περίμενα τη Lenovo να την αγόραζε.
Το καλό είναι ότι είχε πολύ καλή χρονιά. Το κακό είναι ότι ίσως δε δώσει τη δέουσα σημασία στο mobility, για να δούμε κάτι καινούριο.

Οι πατέντες της Motorola άξιζαν πολύ λιγότερο απ'ότι αρχικά είχαν εκτιμηθεί.
Το mobility δεν σημαίνει απαραίτητα τηλέφωνα, κυρίως αφορά embedded & industrial λύσεις και εκεί υπάρχουν μεγάλα περιθώρια κέρδους για μια εταιρία-κατασκευαστής σαν τη Lenovo.

Γιατί κάθε τρίμηνο έμπαινε μέσα μερικές εκαντοντάδες εκατομμύρια.

Μεσα σε 5-6 μερες ειχαμε:

1. Συμφωνια Google-Samsung για τις πατεντες που κατεχουν
2. Συζητησεις / παραπονα της Google στην Samsung για το νεο TouchWiz (Magazine UX) που θελει να βαλει η Samsung.
3. Φημες οτι η Samsung δεν πηρε με καλο ματι την επιτυχια του Moto G (κανει ζημια στις super duper συσκευες της με αναλυση 800x480 και τιμη 300 ευρω)
4. Πωληση της Motorola στα ξαφνικα (συνηθως διαβαζουμε φημες πριν γινει κατι επισημο)

Μια χαρά ενδιαφέρθηκε να πουλήσει συσκευές η Motorola. Δεν έβγαλε άσχημα κομμάτια.
